Terms of Service

LAST UPDATED: OCTOBER 15, 2026

These Terms of Service ("Terms") govern your use of basaltlabs.agency (the "Site") and any services or products provided by Basalt Labs LLC, a Wyoming limited liability company with its address at 30 N Gould St Ste N, Sheridan, WY 82801, United States ("Basalt Labs", "we", "us"). By using the Site or purchasing our services or products, you agree to these Terms. You must be at least 18 years old and able to enter into a binding contract to purchase from us.

1. Our services and products

We provide custom software development services, including web and mobile application development, backend and API development, AI features and integrations, bots and automation, product design, and ongoing maintenance and support ("Services"). We also develop and sell our own software products and subscriptions ("Products"). Products are digital only: access is delivered electronically right after payment, by account activation, license key or download link. No physical goods are shipped.

2. Proposals, scope and acceptance

Each client engagement is defined by a written proposal, statement of work or service agreement (an "Agreement") that sets out the scope, deliverables, timeline, price and payment schedule. Work outside the agreed scope requires a written change request and may change the price and timeline. Deliverables are deemed accepted if you do not send written feedback within 10 days of delivery.

3. Pricing and payment

  • All prices are in US dollars (USD) unless stated otherwise.
  • Fixed-scope work is billed according to the milestone schedule in your Agreement. Hourly work is billed monthly in arrears. Retainers are billed monthly in advance.
  • Invoices are payable within 7 days unless your Agreement states otherwise.
  • Payments are processed by third-party payment processors, including Stripe and PayPal. We do not store your full card details.
  • Product purchases are charged at the price shown at checkout. Subscriptions renew automatically at the end of each billing period, and you will be charged the then-current price at each renewal. You can cancel anytime; cancellation takes effect at the end of the current billing period.
  • You are responsible for any taxes applicable to your purchase, other than taxes on our income.

4. Refunds and cancellation

Refunds and cancellations are governed by our Refund & Cancellation Policy.

5. Intellectual property

Unless your Agreement states otherwise, upon full payment of the applicable fees, we assign to you all rights in the custom deliverables we create specifically for you. We retain ownership of our pre-existing tools, libraries and know-how, and grant you a non-exclusive, perpetual license to use any of them that are incorporated into your deliverables. Open-source components remain subject to their own licenses. Our Products are licensed, not sold, and remain our property.

6. Confidentiality

We treat all non-public information you share with us as confidential and use it only to provide the Services. We will sign a separate non-disclosure agreement on request.

7. Client responsibilities

You agree to provide timely feedback, materials and access needed to perform the Services, and you confirm that you have the rights to any content you provide to us. Delays caused by missing inputs may shift timelines.

8. Acceptable use

You may not use the Site or our Products for any unlawful purpose, to infringe others' rights, to distribute malware, or to attempt to gain unauthorized access to any system. We may suspend access to Products for violations of these Terms.

9. Warranties and limitation of liability

We perform Services with reasonable skill and care. Except for the commitments in this section, in your Agreement and in our Refund & Cancellation Policy, the Site, Services and Products are provided "as is" without warranties of any kind. To the maximum extent permitted by law, our total liability is limited to the amounts you paid us for the relevant Services or Products in the 12 months before the claim arose, and we are not liable for indirect, incidental or consequential damages, including lost profits or data.

10. Termination

Either party may end an engagement by written notice as described in the Agreement and our Refund & Cancellation Policy. On termination, you pay for work performed and accepted deliverables up to the effective date, and we deliver the work paid for.

11. General

  • Independent contractors. We act as an independent contractor. Nothing in these Terms creates an employment, partnership or agency relationship.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Entire agreement. These Terms and any Agreement form the entire agreement between us. If an Agreement conflicts with these Terms, the Agreement prevails for that engagement.
  • Severability. If any provision is found unenforceable, the rest remains in effect.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. Any dispute shall be resolved in the state or federal courts located in Sheridan County, Wyoming, unless otherwise agreed in writing.

13. Changes

We may update these Terms from time to time. The "Last updated" date above shows when they last changed. Changes do not affect Agreements already signed.
